Notice is hereby given that an Extraordinary General Meeting (EGM) of Shareholders of Adansi Community Bank PLC will be held at the Great Hall of the Nursing and Midwifery Training College, Adansi Fomena on 19th September, 2026 at 10:00 a.m. AGENDA 1. To read the Notice convening the Meeting. 2. To receive the Chairman’s Address 3. To pass the following Resolutions: (i) To seek shareholders’ authorisation to sell shares up to the maximum authorized shares of 100,000,000.00 to both existing and new shareholders. (ii) To increase the share price of the Bank from GHS0.25 to GHS0.80. The new share price to take effect from 21st September, 2026. (iii) To offer a non-renounceable right of 4:1 to existing shareholders appearing on the register of members, to buy shares at a price of GHS0.50 per share; effective 21st September to 31st October, 2026. (iv) To seek the mandate of shareholders to undertake strategic investment/take over/captalisation of viable Community Banks or Microfinance Institutions as may be permitted by the Bank of Ghana/ARB Apex Bank rules and regulations. 4. To elect Directors. NOTE: 1. A Shareholder who is unable to attend this Extraordinary General Meeting is entitled to appoint a proxy to attend and vote on his/her behalf.
